LEGAL & MEMBERSHIP TERMS

Terms & Conditions

Clear terms for our website, memberships, plugin downloads and digital services.

Effective date: 28 October 2026

Version: 1.0

Applies to: website visitors and customers worldwide, subject to mandatory local laws.

1. Operator, scope and contact

DiviHarbor is an independent online membership platform operated by Mioo Design, the trading name of Andi Fosselle, an undertaking established in Belgium. Registered business number: 0700.444.126; VAT identification number: BE 0700.444.126; business address: Stegelstraat 18, 8810 Lichtervelde, Belgium.

These Terms & Conditions (“Terms”) govern access to and use of our website, customer accounts, membership offers, digital software downloads and related services. They also provide essential information about distance contracts concluded on DiviHarbor. You can contact us through the website contact and support form or, when available, the support facility in My Account. Additional business contact details may be published in the website’s legal information.

2. Eligibility, customers and mandatory rights

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase a membership. Businesses and private individuals may use the service. If you purchase on behalf of an organization, you confirm that you are authorized to bind it.

Some provisions apply specifically to consumers, meaning individuals acting outside their trade, business or profession. Nothing in these Terms removes statutory protections which apply to consumers, including rights under applicable consumer, digital-content or privacy legislation. Mandatory rules in the customer’s country may prevail over these Terms where the law requires.

3. Contract documents and acceptance

Before placing an order, review the description of the chosen membership, the total price and taxes, renewal information where relevant, these Terms, our Refund Policy and our Privacy Policy, including its cookie information. The specific offer displayed when you order is part of your agreement with us.

By completing the purchase process and accepting the applicable Terms, you submit an order with an obligation to pay. A contract is concluded when we accept the order, normally through a confirmation of successful payment or a confirmation of account entitlement. We will provide the legally required contract information and confirmations on a durable medium, such as email. We may reject transactions that fail payment, eligibility or legitimate security checks, without prejudice to applicable legal rights.

4. Account registration and security

A customer account is required to use membership-only features and downloads; guest access to paid downloads is not provided. Registration uses an email address and authentication credentials. Third-party sign-in options such as Google or Apple may be offered where activated. You must provide accurate information and keep your credentials confidential.

Your account is personal to you or, if expressly offered, to the licensed business account. You must not sell, rent or share your login with unrelated persons, circumvent account controls, or permit unauthorized access. Contact support promptly if you suspect your account has been compromised. We may require reasonable verification to protect accounts, purchases and download rights.

5. Membership plans and included access

DiviHarbor may offer an Annual Membership, a limited Founders Lifetime Membership and, after the Founders allocation is exhausted, a standard Lifetime Membership. Only the plans and prices actually displayed in the checkout are available for purchase. The Founders offer is limited to the stated number of eligible purchases and is not a promise that the promotional offer will remain available indefinitely.

Each plan grants access to the membership-only parts of the library and the resources identified as included in that plan, during the applicable access period. The number, type and identity of available third-party plugins may evolve. Membership purchases buy access to our distribution service; they do not transfer ownership of DiviHarbor, our platform, or third-party copyrights.

6. Meaning and duration of Lifetime access

Lifetime refers to access for the operational lifetime of the DiviHarbor membership service, subject to these Terms and applicable law. It does not mean the lifetime of the purchaser, an assurance that every particular third-party plugin will remain in the catalogue forever, or a guarantee that DiviHarbor will operate perpetually.

A Lifetime purchase is a one-time payment, not an annually recurring charge. During the operational lifetime of the service, we will honor the core membership access and benefits represented as included in the purchased Lifetime plan, subject to reasonable technical, security, licensing and legal changes. If DiviHarbor discontinues the service, we will take reasonable steps to provide appropriate notice and will respect any mandatory rights or remedies arising from the interruption or termination of an agreed digital service.

7. Future features, separate tiers and upgrades

We may develop substantially new product categories, separate services, advanced platform capabilities, or premium plans in the future and offer those as optional additional purchases. A Lifetime Membership does not automatically include every independently marketed future service or premium tier unless its original purchase description expressly promised that inclusion.

We will not require an existing Lifetime member to buy a paid upgrade merely to retain the core membership access and benefits expressly included in the plan they purchased. Where the service is lawfully modified, we will respect contractual commitments and any applicable rules on changes to digital services, including obligations concerning notice, conformity, continued access and termination or reimbursement rights. Improvements and additions that are made available to the member’s existing plan remain included on the terms communicated for that plan.

8. Prices, taxes, currencies and billing

Membership prices may be displayed in euros, US dollars or other supported currencies according to the relevant sales region. The checkout will identify the price payable, any applicable taxes and the billing period before you commit to payment. Currency conversion, card-issuer charges or local taxes may affect the total processed by third parties where lawfully applicable and appropriately disclosed.

Payments are processed using the payment methods offered at checkout, including third-party payment providers. We do not promise that every payment method is available in every country. Payment authorization may be required before access is activated. Invoices, payment confirmations and transaction records may be retained where necessary for contractual, accounting and tax obligations, as explained in our Privacy Policy.

9. Annual Membership and automatic renewal

Where explicitly offered and accepted at checkout, the Annual Membership renews automatically for successive annual periods unless the member cancels the renewal in time, subject to applicable mandatory laws. The applicable recurring price, billing interval, renewal date and cancellation conditions must be clearly presented before purchase. We intend to send a renewal reminder around 30 days before the next annual charge.

Members can request that future renewal be disabled through the account options provided or by contacting support. We will respect statutory rights to terminate a renewed subscription, including any special rules concerning tacit renewal that apply to a consumer. A cancellation normally stops future recurring charges and does not itself undo payments for periods already supplied, except where law or the Refund Policy requires otherwise.

Any proposed change to the price or material terms of a future renewal will be communicated in advance as required by law, with a lawful opportunity to cancel or decline the change. We will not impose a new recurring fee on a completed Lifetime purchase.

10. Delivery, downloads and technical access

Paid resources are supplied digitally, normally through the secure customer account after successful payment and activation of the applicable membership. Availability of a download depends on the member’s entitlement and the resource’s current catalogue status. We may record which account downloaded which product and release, and when, for service delivery, access management and reasonable fraud prevention, as described in our Privacy Policy.

No physical goods are delivered. Customers need a compatible browser, internet connection and an appropriate WordPress/Divi environment to use downloaded software. We will make reasonable efforts to provide contracted access and resolve supply failures. An interrupted download, unavailable account access or non-delivery does not remove any legal remedy that would otherwise apply.

11. Software licences, GPL and third-party rights

Many WordPress and Divi plugins contain components distributed under the GNU General Public License (GPL) or other applicable open-source licences. Rights validly granted by those licences, including permitted use, modification and redistribution, are governed by the licence itself and are not cancelled or reduced by these Terms. Some images, brand assets, fonts, trademarks, proprietary components or associated services may be governed by different rights and conditions.

Your DiviHarbor membership governs access to our download platform; it is not a replacement for the actual licence of each software component. Do not assume that a DiviHarbor membership grants access to an original vendor’s paid services, licence keys, account, automatic update server or premium support. The exact inclusions or exclusions for a product should be assessed from its description and the underlying applicable licences.

12. Independent distribution and trademarks

DiviHarbor is an independent distribution and membership platform and is not the original developer of the third-party products in its library unless expressly stated. Product names and logos are used to identify the respective software and remain the property of their legitimate owners. Listing a product does not imply sponsorship, affiliation, endorsement or a direct partnership with Elegant Themes or the original developer.

Where an original vendor offers separate commercial licences, registration, documentation or support, those arrangements may be independent from the access sold by DiviHarbor. We aim to describe relevant product and developer information accurately and will correct verified material inaccuracies.

13. Compatibility and product descriptions

Product pages may indicate version numbers, release dates, Divi 4/Divi 5 compatibility, documentation, demonstrations, screenshots and original-developer information. Compatibility statements may reflect information stated by the original vendor, and must be read together with any product-specific conditions and tested environment.

We do not promise that every plugin will work with every WordPress version, Divi release, hosting provider, browser or third-party extension. However, product descriptions must not be misleading, and nothing in this clause excludes mandatory obligations concerning the qualities, compatibility, functionality and conformity of digital content or services actually sold.

14. Releases, updates and catalogue changes

The library may be updated as newer releases become available and can be lawfully distributed. Release dates, versions and compatibility data are product-specific; we do not guarantee a particular update frequency, immediate availability of every upstream release, or an indefinite supply of any individual vendor product. Only current releases made available through the member interface are guaranteed to appear there; historical files need not remain publicly downloadable.

We may retire or replace products for legal, security, vendor, compatibility or operational reasons, and make reasonable substitutions where appropriate. Such decisions will not be used to defeat the core access rights promised under a paid plan. We will satisfy mandatory obligations to provide updates or maintain conformity for digital content or digital services wherever applicable.

15. Support and service boundaries

Standard DiviHarbor support is limited to reasonable assistance with membership access, account access, downloading and agreed installation/access problems relating to files we distribute. We do not include custom development, website debugging, implementation services, hosting support or a general guarantee of functional support for every third-party plugin, unless an applicable offer expressly states otherwise.

Support inquiries are handled through the available contact or ticketing channels. We may request order details, technical context and steps to reproduce an access problem. These commercial support limits do not restrict statutory remedies for non-conforming or undelivered digital content or services.

16. Acceptable use, fair use and security

Use the platform lawfully and reasonably. In particular, do not share, resell or transfer account credentials; bypass download entitlements or access controls; attempt unauthorized entry into administrative systems; distribute malware; overload the service; or use automated scraping and large-scale download tools that interfere with the platform or breach agreed account-access rules.

We may apply proportionate technical safeguards, rate limits and monitoring to protect the platform, prevent fraudulent activity and preserve availability for members. These restrictions concern use of DiviHarbor’s systems and credentials, not the independent rights granted by a valid GPL or other software licence to an already lawfully obtained copy. We will not characterize ordinary legitimate downloads as misconduct merely because a member downloads multiple included resources.

17. Account suspension and termination

We may temporarily restrict access or suspend an account when reasonably necessary to address a credible security incident, payment fraud, material breach of these Terms or a legal requirement. Where practicable and safe, we will notify the affected customer and allow a reasonable opportunity to explain or remedy the issue. More serious or repeated violations may justify termination in accordance with applicable law.

Restrictions must be proportionate. Where a restriction was made in error, we will review it and restore applicable access as appropriate. A suspension or termination does not remove mandatory rights to reimbursement, access to lawfully licensed software already obtained, or other legally required remedies.

18. Cancellation, expiry and existing software

Members may cancel an automatically renewing plan so that it does not renew, using the available account or support process. Access normally continues until the end of the already paid membership period unless law or the purchase terms require a different result. An Annual Membership may expire at that point; Lifetime Memberships do not have a recurring renewal to cancel.

After membership access ends, future access to membership-only downloads and updates may end, but the expiry of access to DiviHarbor does not retrospectively revoke rights independently granted by the original licence for software already lawfully downloaded. Billing and transaction information may be retained where legally required.

19. Consumer withdrawal from distance contracts

Where mandatory consumer law applies, an eligible consumer generally has 14 days after conclusion of a distance contract to withdraw without giving a reason, unless a lawful exception applies. For qualifying digital content not supplied on a physical medium, the statutory withdrawal right may be lost when performance begins only if the required prior express consent, acknowledgement of the resulting loss of withdrawal and durable-medium confirmation have all been provided.

A membership providing ongoing access to digital services may require a different legal assessment from a standalone software download. Downloading a file does not, by itself, conclusively extinguish withdrawal rights in every kind of membership contract. Where performance of a qualifying service starts during the withdrawal period at the consumer’s express request, a lawful proportionate payment for performance supplied may apply under the relevant rules. Non-EU consumers also retain any mandatory local rights.

To communicate a withdrawal decision, use the website’s accessible contact/support route and clearly identify the order and your decision to withdraw. Where a dedicated online withdrawal function is legally required, it must be available separately from ordinary support and allow submission and acknowledgement as prescribed by law. See the Refund Policy for details.

20. Refunds and statutory remedies

Our standard commercial policy is no voluntary change-of-mind refund after digital products have been downloaded. This does not exclude a valid statutory withdrawal, reimbursement owed following a non-conforming or undelivered product or service, duplicate or erroneous charge, or any other mandatory remedy. A policy notice alone cannot waive non-excludable consumer rights.

Refund and cancellation procedures are explained in the Refund Policy. In case of conflict, mandatory law prevails; the more specific refund provisions apply to refund processing to the extent they are compatible with the agreed purchase and the law.

21. Conformity and legal guarantees

We will supply the digital content and services in conformity with the contract and mandatory legal requirements concerning characteristics, functionality, compatibility, delivery and applicable updates. Where a digital product or service is not delivered or lacks required conformity, consumers may have a right to require proper delivery or correction, and in the legally defined circumstances to a price reduction, termination or reimbursement.

We are committed to maintaining the operation of our contracted service during the relevant contractual period, subject to proportionate maintenance, necessary changes and events beyond reasonable control. No limitation of third-party support or vendor update frequency deprives a consumer of remedies that cannot lawfully be excluded.

22. Maintenance, changes and service continuity

We may perform maintenance, security updates, infrastructure migrations and reasonable improvements. Temporary interruptions may occur. We will seek to minimize unnecessary downtime and maintain services that members have paid for. We may change technical features or catalogue presentation for valid legal, security, compatibility or operational reasons.

Material changes to digital services must respect applicable legal rules concerning valid reasons, advance notice where required, no additional charge for modifications to the existing contract, and remedies or continued access where a change adversely affects the consumer more than minimally. We cannot guarantee perpetual operation of the business or of external software vendors, but this does not eliminate our contractual or statutory responsibilities.

23. Site materials and intellectual property

The DiviHarbor website, its original branding, account interface, texts, databases, design elements and other proprietary materials belong to us or their respective licensors. Except where a separate licence grants otherwise, you may not copy or exploit our original website materials in a way that infringes applicable intellectual-property rights.

Third-party plugins and open-source code remain subject to their own licences, which are not overridden by this provision. Links to external sites, documentation or demos are offered for convenience; those external services control their own sites and terms. Embedding a third-party service does not make us the owner or operator of that service.

24. Liability and reasonable limitations

To the extent permitted by applicable law, DiviHarbor is not responsible for losses arising solely from unauthorized account use caused by a member’s failure to protect credentials, third-party systems outside our control, or use of software outside the disclosed specifications or supported environment, where we have not otherwise breached a legal or contractual obligation.

We do not exclude liability that cannot legally be limited, including liability for intentional misconduct or other liability protected by mandatory law, consumer remedies for non-conformity, or the consequences of our own legally actionable breach. Any exclusion or limitation shall apply only where proportionate, transparent and legally enforceable. Nothing here grants us an unlimited right to avoid responsibility for the service actually promised.

25. Privacy, cookies and electronic notices

Our Privacy Policy explains how we collect and process personal information, including account, payment, download, support, security, analytics, advertising and cookie-related processing. Where consent is required for non-essential cookies or marketing, it must be sought separately in accordance with applicable law. Accepting these Terms does not by itself constitute consent to all such processing.

We may send operational messages needed to administer the contract, such as purchase confirmations, account and security notices, payment information, support replies and legally required renewal notices. Marketing messages are subject to the applicable direct-marketing rules and communication preferences. Legally relevant notices may be delivered through a durable medium when required.

26. Complaints and dispute resolution

If you have a complaint or dispute about an order, access, membership, refund or software delivery, contact us through our contact/support form or an available account support channel with sufficient information to identify the transaction. We aim to investigate complaints fairly and offer an appropriate explanation or remedy.

Eligible consumers may have access to independent consumer advice, mediation or courts as provided by applicable law. We do not require consumers to waive mandatory complaint mechanisms or pursue binding arbitration where such a requirement would be unlawful. A support request does not prevent the exercise of a statutory withdrawal or other time-limited legal right.

27. Governing law and consumer jurisdiction

These Terms are governed by Belgian law, subject to any mandatory consumer protections that apply in the country where a consumer habitually resides and that cannot be excluded by a choice of law. Where courts are competent, jurisdiction will be determined under applicable national and international rules.

For business-to-business disputes, and to the extent legally permissible, the courts competent for our Belgian place of establishment may hear the dispute. This provision does not deprive a consumer of the right to sue or defend proceedings before a court that has mandatory jurisdiction under applicable consumer protection rules.

28. Changes, interpretation and contact

We may revise these Terms for future purchases and, where lawful, make proportionate changes to ongoing services for legitimate operational, legal or security reasons. The version accepted at purchase remains relevant to the obligations included in that purchase. We will not retroactively impose a mandatory paid Lifetime upgrade or substantially remove contracted core benefits merely by editing this page. Important changes will be communicated as legally required.

If a clause is unenforceable, the remaining clauses continue to apply where legally possible. A failure to enforce a clause on one occasion does not automatically waive it for all future situations. References to the singular include the plural where the context permits; section headings are for convenience. The Refund Policy, Privacy Policy and specific membership offer supplement these Terms without overriding mandatory law.
